SPECIFIC TERMS AND CONDITIONS

StoreBrid Service

These Specific Conditions apply to the Service Order to which they are attached and form part of the Contract between the Client and Sunveon.

For any matters not expressly provided for in these Specific Conditions, Sunveon’s General Terms and Conditions (available at https://sunveon.com/condiciones-generales) shall apply. In the event of any conflict, the provisions of the Service Order shall prevail, followed by these Specific Conditions, and subsequently the General Terms and Conditions.

  1. Service-Specific Definitions

For the purposes of these Specific Conditions, the following terms shall have the meanings set out below.

StoreBrid
Software-as-a-Service (SaaS) platform designed for the technical and economic modelling and simulation of battery energy storage systems (BESS), including standalone storage projects and hybrid configurations with renewable energy installations

BESS (Battery Energy Storage System)
Battery-based energy storage system.

BESS Modelling
Digital and mathematical representation of storage systems, based on adjustable hypotheses and parameters intended to produce approximate simulations.

BESS Project
Set of analysis and simulation activities carried out within StoreBrid for planning, sizing, and evaluation of BESS projects.

Simulations
Outputs generated by the Platform for modelling and analytical purposes only. Such outputs are indicative estimates and do not constitute guarantees of technical performance, economic outcome, or project feasibility.

Simulation Token («Token»)
The unit of computational consumption within the StoreBrid Platform. One (1) Token corresponds to the execution of a simulation covering one (1) simulated year at hourly time resolution.

Simulations spanning multiple years consume one (1) Token per simulated year using hourly time resolution. Simulations requiring higher computational resources — including sub-hourly resolution, batch simulations, stochastic analysis, optimization routines, or other advanced functionalities — may consume Tokens at proportionally higher rates. The applicable consumption ratios shall be published in the Platform documentation and may be updated by Sunveon from time to time with reasonable prior notice.

Daily Token Allocation
Maximum number of Simulation Tokens available to each Named User per day, as specified in the Service Order. Once the allocation is consumed, no further simulations may be launched until the following calendar day (00:00 UTC). Unused Tokens do not carry over to subsequent days.

Data Storage Allocation
Maximum volume of persistent data, measured in gigabytes (GB), available per Named User within the Platform, as specified in the Service Order.

Data Storage includes, without limitation, project configurations, simulation parameters, simulation outputs, time-series results, and reports stored within the Client’s account.

  1. Purpose and Functional Scope

The StoreBrid service grants the Client a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform during the term specified in the Service Order.

The Platform enables the modelling, simulation, and analysis of energy storage systems, renewable installations, and hybrid energy configurations for technical and economic evaluation purposes.

  1. Plan Parameters and Technical Limits

3.1 Plan Description

The service plan contracted by the Client shall be as specified in the Service Order.

Unless otherwise agreed, the following plan is available:

PRO Plan

The PRO Plan provides access to the core functionalities of the StoreBrid Platform available at the time of execution of the Service Order, including, without limitation:

  1. a) standalone and hybrid BESS project modelling
  2. b) advanced degradation modelling and custom retrofit strategies
  3. c) hourly and sub-hourly simulation capabilities
  4. d) batch simulation of up to five (5) cases based on flexible variables (e.g., BESS capacity, power rating, or other system parameters)
  5. e) energy market simulation, including arbitrage and ancillary services (e.g., aFRR, capacity mechanisms)
  6. f) revenue stacking across multiple market services (e.g., Day-Ahead market, aFRR, capacity markets)
  7. g) scenario-based sizing and dispatch optimization
  8. h) integrated financial modelling, including cost assumptions and asset-specific timelines, and generation of financial evaluation outputs (including IRR, NPV, LCOE, and related KPIs)
  9. i) generation of structured reports (PDF, Excel) and export of time-series data

The quantitative parameters of each license — including the number of Named Users, the Daily Token Allocation per User, the Data Storage Allocation per User, and the applicable Support Level — shall be specified in the Service Order.

Sunveon may introduce additional plans or service tiers with differentiated functional scope or increased allocations. Features or capabilities not included in the PRO Plan may be made available as Additional Modules subject to separate pricing.

3.2 Simulation Tokens

Access to the Platform’s simulation engine is metered through Simulation Tokens as defined in Section 1.

Unless otherwise specified in the Service Order, the following operational rules apply:

Token Allocation
Each Named User shall have the Daily Token Allocation specified in the Service Order.

Consumption Methodology
Token consumption is determined according to the characteristics and computational intensity of the simulation. Unless otherwise specified, the following principles apply:

  • Base Unit: One (1) Token corresponds to one (1) simulated year at hourly time resolution.
  • Multi-year simulations: One (1) Token is consumed per simulated year.
  • Batch simulations: Parallel simulations (up to five (5) cases) consume Tokens proportional to the number of independent simulation cases executed.
  • Sub-hourly resolution: Simulations using higher temporal resolution consume Tokens proportionally to the increase in computational load (e.g., 15-minute resolution = 4× the hourly base unit).
  • Advanced computational features: Functionalities requiring higher computational intensity — including optimization routines, stochastic analysis, or other advanced modelling capabilities — may consume Tokens at proportionally higher rates.

The applicable Token consumption ratios for each simulation type shall be published in the Platform documentation and may be updated by Sunveon from time to time with reasonable prior notice to the Client.

No Rollover
Unused Tokens from a given calendar day do not carry over to subsequent days.

Allocation Exhaustion
When a user’s Daily Token Allocation is fully consumed, no additional simulations may be launched until the following calendar day (00:00 UTC). The Platform shall notify the user upon reaching the allocation limit.

Additional Tokens
The Client may request an increase in Token capacity subject to the pricing and conditions established in the Service Order or otherwise agreed in writing between the Parties.

3.3 Data Storage

Each Named User shall have the Data Storage Allocation specified in the Service Order.

To ensure efficient platform performance and storage management, StoreBrid may periodically remove certain high-volume datasets, including simulation time-series results, after a retention period of thirty (30) days.

Such datasets may be regenerated by the user at any time by re-running the corresponding simulations within the Platform, subject to the applicable Simulation Token consumption.

If the allocated storage capacity is reached, the Platform shall notify the user so that storage can be managed or additional storage capacity can be requested under the applicable commercial conditions.

Data retention and deletion upon service termination shall be governed by Section 8 of these Specific Conditions and the applicable provisions of the General Terms and Conditions.

3.4 Evolution of the Platform

The technical and functional parameters of the Platform may evolve as StoreBrid is developed and improved.

Sunveon may introduce new simulation types, consumption categories, service tiers, or functionalities, subject to the modification and notice provisions set forth in the General Terms and Conditions.

  1. License and User Management

The Client shall designate an Administrator User responsible for the creation, assignment, modification, or replacement of authorized users.

User licenses are nominative and may not be reassigned unless otherwise permitted in the Service Order.

Where reassignment is permitted, it may require validation by Sunveon and may take up to twenty-four (24) hours to become effective.

Concurrent editing of the same Project is not permitted. The Platform provides cloning functionality to allow parallel work on duplicated project instances.

  1. Nature of Simulations and Client Responsibility

Simulations generated by the Platform are indicative estimates based on parameters provided by the Client and on modelling assumptions that may vary.

Such simulations do not constitute any guarantee of technical performance, economic outcome, market behavior, or project feasibility.

The Client assumes sole responsibility for any decisions made on the basis of simulations generated by the Platform.

In all cases, the limitation and exclusion of liability provisions set out in the General Terms and Conditions shall apply.

  1. Data Protection

The use of StoreBrid may involve the processing by Sunveon, acting as Data Processor, of identification and professional contact data of users designated by the Client.

Such processing shall be carried out in accordance with Article 28 of the GDPR, the LOPDGDD, and the obligations set out in the General Terms and Conditions.

  1. Service Level Agreements (SLA)

The StoreBrid service is subject to the Service Level Agreements (SLA) published by Sunveon and in force at any given time, available at:

These SLAs govern, among other aspects, service availability, response times, and support procedures.

In the event of any conflict between the SLAs and these Specific Conditions or the Service Order, the provisions of the Service Order shall prevail, followed by these Specific Conditions, and subsequently the SLAs.

  1. Data Export upon Service Termination

Upon termination of the service, Sunveon shall notify the Client of a period during which the available information may be downloaded.

Once this period has expired, Sunveon shall securely delete the information, except for any data that must be retained in a blocked state to comply with legal obligations.

  1. Term and Renewals

The service shall commence upon execution of the Service Order, first by the Client and subsequently by Sunveon, unless the Service Order specifies a different start date.

Where the Service Order provides for an Initial Term and a renewal scheme, the agreed terms shall apply. In the absence of such specification, the duration and renewal provisions established in the General Terms and Conditions shall govern.

  1. Governing Law and Jurisdiction

This Contract, including these Specific Conditions, shall be governed by and construed in accordance with Spanish law.

The valid language for all interpretation, communication, and contractual purposes shall be Spanish.

For the resolution of any dispute arising from the interpretation or performance of the Contract, the Parties expressly submit to the exclusive jurisdiction of the Courts and Tribunals of Madrid (Spain), without prejudice to cases where mandatory legal provisions establish otherwise.
